Purpose and status of this document

This document is a framework draft prepared for internal review. It describes the client information Quantari intends to provide under the Swiss Financial Services Act (FinSA) if and when it offers a regulated financial service. It does not create any client relationship, is not final, is not in force, and requires legal and compliance approval before publication. Quantari currently offers no regulated financial service.

Identity of the future financial service provider

The provider of any future service would be Quantari, which develops systematic investment technology in Switzerland. Quantari's definitive legal form, commercial-register particulars, registered office and formal contact channel for financial-services matters are not yet established and will be stated here once they exist. Current pre-authorisation status

Quantari currently holds no authorisation to provide regulated portfolio-management or other regulated financial services, and is not currently supervised by FINMA or affiliated with a supervisory organisation. Nothing in this document should be read as indicating that a regulated service is available today. Any future service would be subject to obtaining the required authorisation and to the arrangements described here being finalised.

Intended service type

The service Quantari intends to develop is discretionary portfolio management informed by systematic, quantitative models. This intended scope is described for information only. The definitive service description, its limits, and the instruments it may cover depend on future authorisation, approved product scope and confirmed provider arrangements, and are not settled. Intended discretionary portfolio-management model

Under the intended model, a client would grant Quantari a discretionary mandate to make and implement investment decisions within agreed, documented investment guidelines, without seeking instructions for each transaction. The mandate would be governed by a written agreement whose terms are not yet drafted for client use. No such mandate is offered or accepted today.

Client-owned, segregated accounts

The intended model is built around accounts opened in the client's own name and holding the client's own assets. Client assets would be intended to remain segregated from Quantari's own assets. The specific account structure depends on confirmed future banking and custody arrangements and is not yet fixed. [Account structure: pending confirmed providers.]

Quantari would not hold client assets

Quantari does not currently accept, hold, safeguard or administer client money or client securities, and the intended model does not contemplate Quantari taking custody of client assets. Custody and safekeeping would be provided by a future regulated bank and/or custodian under separate arrangements, once confirmed.

Intended roles of future bank, broker and custodian

A future regulated bank, broker and custodian would be expected to provide account-keeping, order execution, settlement and safekeeping. Quantari has referred elsewhere to CIC and Interactive Brokers (IBKR) as intended future relationships only; neither is a confirmed partner, and no such relationship is in place. The allocation of roles among these parties is not yet settled. [Provider roles: pending confirmed agreements.]

Client risks

Any future investment service would involve risk, including the risk of losing some or all of the capital invested. A separate general risk disclosure describes the categories of risk in more detail in draft form. No investment approach can guarantee returns or prevent losses, and past or simulated performance is not a reliable indicator of future results.

Costs and fees

Any future service would involve costs, which could include a management component, third-party costs such as brokerage, custody, banking, foreign exchange and market data, and applicable taxes and duties. No fee model has been approved and no rates have been set. A separate fee disclosure describes the intended fee framework in draft form, with all values marked pending. [Fees: pending approval.]

Conflicts of interest

Quantari intends to identify, prevent where possible, and otherwise manage and disclose conflicts of interest, including those arising from its own proprietary models, from the selection of providers, and from any third-party compensation. A separate conflicts-of-interest policy describes the intended approach in draft form. Governance and staffing arrangements are not yet established.

Third-party compensation

Whether any third-party compensation, retrocession or inducement could arise in a future service depends on provider arrangements that are not confirmed. Quantari's intended position on receiving, retaining, passing on or disclosing any such compensation would be stated in the finalised conflicts and fee documents. No such arrangement exists today. Complaints and ombudsman

Quantari intends to operate a documented complaints process and, before offering any regulated service, to affiliate with a recognised ombudsman as required under Swiss law. No ombudsman affiliation is currently confirmed. Separate complaints and ombudsman documents describe the intended approach in draft form. [Ombudsman affiliation: pending.]

Documentation and information duties

If a regulated service is offered, Quantari intends to provide the pre-contractual and ongoing information, and to keep the records, required under applicable Swiss financial-services law. The precise documents a client would receive, and the timing of their delivery, depend on the finalised service model and are not yet settled.

Missing factual inputs

The following remain undetermined and are required before this document could be finalised: Quantari's definitive legal identity and registered particulars; the authorisation status and any supervisory-organisation affiliation; the confirmed banking, brokerage and custody arrangements; the approved product and strategy scope; the approved fee model; and the confirmed ombudsman affiliation. Each is marked pending above and none may be assumed.
